1. Acceptance and Binding Agreement
These Terms of Service ("Terms") form a legally binding agreement between you and Matterly Inc. ("Matterly"). By accessing or using the Service, you confirm that you have the authority to bind yourself or the entity you represent.
2. Description of the Service
Matterly provides software tools intended to assist legal and regulatory professionals with administrative, workflow, and practice-management functions. The Service is provided on an 'as-is' and 'as-available' basis.
3. No Legal Advice; No Professional Services
Matterly is not a law firm, paralegal service, or professional regulatory body. The Service does not provide legal advice, opinions, or representations. You acknowledge that all outputs generated by the Service must be independently reviewed and verified.
4. User Obligations
You are responsible for all activity conducted through your account. You agree to use the Service in compliance with all applicable laws, professional rules, and regulatory obligations.
5. Fees, Billing, and Suspension
Fees are billed in advance unless otherwise agreed. Failure to pay may result in suspension or termination of access without liability to Matterly.
6. Prohibited Conduct
You may not misuse the Service, attempt to gain unauthorized access, introduce malware, or interfere with system integrity.
You may not use the Service to provide unauthorized legal services or to violate professional conduct rules.
7. Intellectual Property and License
Matterly retains all right, title, and interest in the Service, including software, documentation, and branding.
You are granted a limited, non-exclusive, non-transferable license to use the Service during the term of your subscription.
8. Termination
Matterly may suspend or terminate access immediately for breach of these Terms or for security or legal reasons.
Termination does not relieve you of payment obligations incurred prior to termination.
9. Limitation of Liability
To the maximum extent permitted by Canadian law, Matterly shall not be liable for any indirect, incidental, special, or consequential damages.
Matterly's total aggregate liability shall not exceed the fees paid by you in the twelve (12) months preceding the claim.
10. Indemnification
You agree to indemnify and hold harmless Matterly from any claims, losses, or liabilities arising from your use of the Service or your Client Data.
11. Governing Law and Venue
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein.
You agree to the exclusive jurisdiction of the courts located in Ontario.
